How the score is calculated
Filing signals (last 180 days), recency-weighted:
+5 per 8-K item 7.01 (Reg FD disclosure — selective info release vehicle)
+4 per 8-K item 8.01 (other material events — catch-all PR vehicle)
+6 per 6-K (foreign issuer interim — often news-driven)
+3 per DEFA14A (additional proxy soliciting — outreach activity)
+15 spike bonus when 8-K count in last 30d > 2x rate of prior 150d (cadence acceleration)
Recency: <30d full, 30-90d 0.7x, 90-180d 0.4x. Final score capped at 100.
Why these signals? Paid promotion often coincides with rapid press release cadence and Reg FD activity. But normal companies have legitimate news too — this is a screening signal, not a verdict.
